By downloading, installing, or using ShadowTag, you agree to these terms. Please read them carefully.
These Terms and Conditions ("Terms") govern your use of the ShadowTag application ("the App") developed and published by Ryan Francesconi, operating under the Spongefork name ("Spongefork", "we", "us"). By installing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.
ShadowTag is distributed directly by Spongefork. Subject to your compliance with these Terms, you are granted a limited, non-transferable, non-exclusive, perpetual license to use the App on devices you own or control. The core App is free to download and use. Pro features are unlocked by a license key obtained through a one-time purchase.
ShadowTag Pro is sold as a one-time, perpetual license. Purchases are processed by FastSpring, which acts as the merchant of record. FastSpring handles payment processing, tax collection and remittance, currency conversion, and customer billing inquiries. Your payment method is provided directly to FastSpring and is never collected or stored by Spongefork.
After a successful purchase, a license key is delivered by email to the address you provided at checkout. Enter the key in the App to activate Pro features. Keep the key for future reinstalls and transfers to new machines. If you lose your key, contact support.
Spongefork offers a 30-day money-back guarantee on ShadowTag Pro purchases. Full details are in our Refund Policy. Refunds are issued by FastSpring in accordance with its Terms of Sale for Purchasers and can be requested via fastspring.com/consumer-support. Any charges, disputes, or billing questions regarding your transaction should be raised with FastSpring.
You may use ShadowTag to edit metadata in audio files you own or have the right to modify. You are solely responsible for ensuring you have the necessary rights to any files you process with the App.

ShadowTag, including its code, design, name, and logo, is the property of Ryan Francesconi and Spongefork. All rights not expressly granted under these Terms are reserved. Audio files, metadata, and other content you process with the App remain your property.
You retain full ownership of any files, metadata, or content you create, edit, or manage using ShadowTag. The App does not claim any rights to your content. You are responsible for maintaining your own backups; we recommend keeping copies of important files before making metadata changes.
ShadowTag is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. You use the App at your own risk.
To the maximum extent permitted by law, Spongefork and Ryan Francesconi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or business interruption, arising out of or related to your use of the App — even if advised of the possibility of such damages. Our total liability for any claim related to the App shall not exceed the amount you paid for the App, if any, in the twelve months preceding the claim.
If you submit feedback, bug reports, or suggestions, you grant Spongefork a perpetual, royalty-free license to use that feedback for any purpose, including improving the App, without obligation to you. See the Privacy Policy for details about what information is transmitted when you submit feedback.
These Terms apply for as long as you use the App. You may terminate them at any time by uninstalling the App. We may terminate or suspend your rights under these Terms if you materially breach them. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will survive.
We may update these Terms from time to time. If changes are material, the updated version will be posted at this URL with a new effective date. Your continued use of the App after such changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States and the state in which Spongefork operates, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved in accordance with that jurisdiction.
